Terms and conditions
Terms for bookings and performances
General terms and conditions, invoicing and cancellation terms
These terms apply to every booking of Sam Anderson. They are attached to every contract. Version of [DATUM VAN PUBLICATIE].
These terms are available in Dutch, French and English. In the event of any difference in interpretation, the Dutch text prevails.
Article 1. Identity of the artist
Sam Anderson is the stage name of [JURIDISCHE NAAM], self-employed, with registered office or residence at [ADRES], registered with the Crossroads Bank for Enterprises under number [ONDERNEMINGSNUMMER], VAT number [BTW-NUMMER], hereinafter "the artist".
Contact: bookings@sam-anderson.be or +32 487 362 161. Home base: Kortrijk, West Flanders, Belgium.
Article 2. Definitions
- Client: the natural or legal person who books the artist and signs the proposal. Where these terms refer to the "principal" or "organiser", the client is meant.
- Consumer: a client acting for purposes outside their trade, business or profession, for example for a wedding or a private party.
- Business: a client acting for purposes of their trade, business or profession, for example for a corporate event, a club or a festival.
- Proposal: the personal online proposal the client receives via a unique link, setting out the packages, prices and event details.
- Package: the set-up of the performance the client chooses in the proposal, with the agreed playing time.
- Agreement: the proposal as confirmed and signed by the client, together with these terms and the technical rider.
- Event: the event at which the artist performs, on the date and at the venue stated in the agreement.
- Technical rider: the document setting out the technical and practical requirements for the performance.
Article 3. Scope and order of precedence
These terms apply to every proposal and every agreement with the artist. By confirming the proposal, the client expressly accepts them.
In the event of any conflict, the following order applies: first the specific arrangements in the agreement, then the technical rider, then these terms. General terms or purchasing conditions of a business do not apply unless the artist accepts them in writing.
Article 4. Proposal and formation of the agreement
Following an enquiry via the website, the client receives an email with a link to a personal online proposal. Prices are shown only in that proposal and never in the email. Prices may differ per client and per event, depending among other things on the date, the venue, the package and the travel distance.
The proposal is valid for 30 days from the date it is sent. After that, it expires, the prices are no longer visible and the artist is no longer bound by it. Until the client confirms, the date remains open and the artist may give it to another client.
The client confirms the proposal online by:
- choosing a package;
- entering their details, as a private individual or as a business with a VAT number;
- checking and confirming the event details;
- ticking the boxes to accept these terms and the cancellation terms and, as a consumer, acknowledging the exception to the right of withdrawal (Article 6);
- adding an electronic signature.
A binding agreement is formed at the moment of the electronic signature. The client then receives by email a contract in PDF format showing the date and time of signature, a partly masked IP address and a unique verification code (hash) of the document.
The client is responsible for the accuracy of the details they enter. Anyone signing on behalf of a business declares that they are authorised to do so. Obvious clerical errors in the proposal, such as a clear typing error in a price, do not bind the artist.
Article 5. Electronic signature and evidence
The parties acknowledge that the online confirmation and the electronic signature have the same value as a handwritten signature and bind the client in the same way.
The data recorded by the booking system at the time of signature (date, time, masked IP address, verification code of the document and the system logs) constitute evidence of the formation and content of the agreement, unless proven otherwise.
Article 6. No right of withdrawal for consumers
For a distance contract, a consumer normally has 14 days to withdraw from the agreement without giving a reason. That right of withdrawal does not apply here. The artist's performance is a service related to leisure activities on a specific date. Under Article VI.53, 12° of the Belgian Code of Economic Law, the right of withdrawal does not apply to such services.
In practice, this means that as soon as you sign the proposal as a consumer, the artist keeps that date free for you and turns down other enquiries. If you then wish to withdraw from the booking, the cancellation terms in Article 13 apply. When signing, the consumer expressly confirms, by ticking a separate box, that they have taken note of this.
Article 7. Prices and VAT
Prices are as stated in the proposal. For consumers, prices are shown including VAT; for businesses, excluding VAT.
Whether VAT is charged, and how much, depends on the artist's VAT status and on the VAT rules in force at the time of invoicing. This is stated in the proposal and on the invoice. If the artist falls under the small business VAT exemption scheme, no VAT is charged and the invoice says so.
Unless the proposal states otherwise, the price covers the performance according to the chosen package, the artist's own equipment and its set-up and dismantling. Travel costs are charged in accordance with Article 8.
Article 8. Travel costs
Travel costs are as stated in the proposal. Unless the proposal states otherwise, a mileage allowance of €0.45 per kilometre applies, calculated on the return distance from Kortrijk, with the first 100 kilometres included.
Parking costs, tolls and any overnight stay for distant events are payable by the client, provided this is stated in the proposal. For bookings abroad, travel and accommodation costs are agreed in the proposal.
Article 9. Deposit
The proposal may include a deposit. By default, this is 30% of the total amount, but the percentage may vary per proposal. The deposit is paid online through the payment service Mollie.
Where a deposit is requested, the date is only secured once payment has been received. If the deposit is not paid within the period stated in the proposal, the artist sends a reminder. If payment is still not made after that, the artist may release the date and treat the agreement as terminated, at no cost to either party.
The deposit is deducted from the total amount. It is not refunded if the client cancels, as set out in Article 13. It is refunded in full if the artist cancels (Article 15).
Article 10. Invoicing and payment
Unless otherwise agreed, the balance is invoiced after the performance. The invoice is payable within 14 calendar days of the invoice date, to the account number stated on the invoice.
Additional services on the day, such as an extension or waiting time (Article 16), and travel costs are charged on the same invoice.
Accounting and invoicing are handled by the accountancy firm Vandelanotte. Questions about an invoice can always be sent to bookings@sam-anderson.be.
Article 11. Late payment by a business
If the client is a business and an invoice is not paid on time, late payment interest is due automatically and without prior notice of default, at the statutory interest rate for commercial transactions as published every six months, in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions.
In addition, a fixed compensation of €40 for recovery costs is due automatically. This does not preclude compensation for higher, reasonable and proven recovery costs.
Article 12. Late payment by a consumer
If the client is a consumer, the rules of Book XIX of the Belgian Code of Economic Law (Act of 4 August 2023) apply:
- If an invoice is not paid on time, the artist first sends a free reminder. The consumer then has a further 14 calendar days to pay. That period starts on the third working day after a reminder is sent by post, or on the day after a reminder is sent by email.
- Only once that period has expired without payment may the artist charge compensation and late payment interest.
- The compensation amounts to no more than: €20 for an outstanding amount up to and including €150; €30 plus 10% of the portion between €150.01 and €500, for an outstanding amount between €150.01 and €500; €65 plus 5% of the portion above €500, up to a maximum of €2,000, for an outstanding amount above €500.
- Late payment interest is calculated at the statutory interest rate on the outstanding amount, from the end of the 14-day period.
Article 13. Cancellation by the client
The client may only cancel the agreement in writing, by email to bookings@sam-anderson.be. The date on which that email is received determines the fee payable. The number of days is counted up to the date of the event.
On cancellation, the client owes the following fee:
| Time of cancellation | Fee payable |
|---|---|
| More than 21 days before the event | The deposit remains payable. If no deposit was requested: a fixed administration and reservation fee of 30% of the total amount. |
| 21 to 15 days (inclusive) before the event | 50% of the total amount |
| 14 to 8 days (inclusive) before the event | 75% of the total amount |
| 7 days or less before the event, or if the performance cannot take place on the day for a reason attributable to the client (for example an event called off without notice) | 100% of the total amount |
The total amount is the price of the chosen package as stated in the agreement, excluding travel costs not yet incurred. Any deposit paid is deducted from the fee payable. If more has been paid than is owed, the difference is refunded.
These fees cover the loss of the reserved date, which the artist kept free for the client while turning down other enquiries, and the preparation of the performance.
Article 14. Postponement to another date
Moving the event to another date is done by mutual agreement. A postponement is free of charge once, provided all of the following conditions are met:
- the client requests it in writing more than 60 days before the original date;
- the new date falls within 12 months of the original date;
- the artist is available on the new date.
Any deposit paid is then transferred to the new date. If these conditions are not met, or in the case of a second postponement, the request is treated as a cancellation under Article 13, calculated on the date of the request. A new date can then be booked as a new booking.
Article 15. Cancellation by the artist and force majeure
The artist only cancels a confirmed performance in the event of force majeure. Force majeure includes: illness of the artist supported by a medical certificate, an accident, a death in the family, government measures that prohibit the performance or make it impossible, and extreme weather conditions at an outdoor event that make the performance unsafe.
The artist then informs the client as soon as possible. All amounts already paid by the client are refunded in full. The artist will do his best to propose a replacement from his network. The client is free to accept or decline that replacement. No further compensation is payable in the event of force majeure.
If the artist cancels without force majeure, he refunds all amounts paid and also pays compensation equal to the fee the client would have owed at that same time under Article 13.
If the event itself cannot take place because of a government measure, the parties first try together to find a new date in accordance with Article 14, even if the 60-day period can no longer be met. If that is not possible, the amounts paid are refunded, without further compensation for either party.
Article 16. Playing time, extension and waiting time
The playing time and the division of the live sets are as stated in the chosen package. The exact schedule is agreed in advance with the client and the DJ.
An extension on the day is possible if the artist's schedule allows, at €100 per additional hour, unless the proposal states a different rate. The extension is agreed verbally on the day with the client or with the contact person appointed by the client.
If the performance starts later than the agreed time for a reason attributable to the organisation, waiting time beyond the first 60 minutes may be charged at the same rate of €100 per hour or part thereof. The agreed playing time cannot necessarily be made up later in the evening if the artist's schedule does not allow it.
Article 17. Equipment, technical rider and client obligations
The artist brings all his own equipment: djembé, drum pads, stands, in-ear monitors, wireless microphones, receivers and cables.
The technical rider forms an integral part of the agreement. The client passes the rider on to the venue, the DJ and the technical supplier in good time. The client ensures that:
- power is available at the agreed location;
- there is a safe, clearly defined performance area, covered and protected from rain at outdoor events;
- a sound system or a DJ is present who follows the technical rider and can connect the percussion on a separate channel;
- any sound limiter is set so that the peaks of the live percussion do not cut out the music, within the legal sound level limits;
- the artist has easy access to the venue for set-up and dismantling, at the times agreed in advance.
Since not every DJ is used to working with live instruments, the artist and the DJ coordinate in advance. The client therefore provides the contact details of the DJ and the technical supplier in good time. On request, the artist can suggest a DJ from his network.
Article 18. Essential technical requirements not met
If the artist finds on arrival or during the performance that an essential requirement of the technical rider has not been met, he reports this immediately to the client or their contact person. The client is then given a reasonable opportunity to resolve the problem, where possible before the scheduled start of the performance.
If the problem is not resolved and the performance is therefore impossible or unsafe for the artist, the guests or the equipment, the artist may shorten the performance or not start it. The artist first considers whether an adapted performance is safely possible. In that case, the agreed fee remains payable, since the artist kept himself available and was present on site.
This does not apply if the problem is caused by the artist himself or by his own equipment.
Article 19. Safety and damage to equipment
The client ensures a safe environment during set-up, the performance and dismantling. Damage to the artist's equipment caused by guests during the event, for example by playing instruments without permission, by spilling drinks or by knocking equipment over, is payable by the client. Damage is compensated at the cost of repair or, if repair is not possible, at replacement value.
The artist reports any damage as soon as possible, where possible during the event, and provides the client with supporting documents.
Article 20. Assistant
The artist sometimes brings an assistant, for example for set-up or to take photos and video. This involves no extra cost for the client. The client may let the artist know in writing in advance that they do not wish an assistant to attend.
Article 21. Photos and videos
The artist may take, or have taken, photos and videos during the performance for his portfolio, website and social media. He does so with respect for the guests' privacy: no recognisable close-ups of guests without their consent and no recognisable images of children. The client may refuse or restrict this in writing in advance.
The client and the guests may share photos and videos of the performance on social media and for personal use, crediting Sam Anderson.
Any commercial use of images of the artist by the client, for example in advertising, on a company website or to promote another event, requires the artist's prior written consent.
Article 22. Liability and insurance
The artist performs the agreement with professional care. His liability is limited to the amount of the agreement. The artist is not liable for indirect loss, such as loss of profit or consequential loss.
These limitations do not apply in the case of wilful misconduct or gross negligence by the artist, nor to death or personal injury caused by the artist.
[VERZEKERING: the artist holds professional liability insurance with (INSURER). To be confirmed by the artist; delete if there is no insurance.]
Article 23. Complaints
Complaints about the performance must be submitted in writing within 8 calendar days of the event to bookings@sam-anderson.be, with a clear description. Complaints about an invoice must be submitted within the same period from receipt of the invoice. A complaint does not suspend payment of the undisputed part.
For consumers, this period does not affect their statutory rights.
Article 24. Personal data
The artist processes personal data in accordance with the privacy statement on the website. It sets out which data are processed, for what purposes, how long they are kept and what rights the client has.
Article 25. Governing law and disputes
Every agreement is governed exclusively by Belgian law.
The parties first try to settle any dispute amicably. Failing that, disputes with businesses fall under the exclusive jurisdiction of the courts of the Kortrijk division (judicial district of West Flanders).
A consumer may also bring a dispute before the court that has jurisdiction by law, including the court of their own place of residence. A consumer may also contact the Belgian Consumer Mediation Service free of charge, Boulevard du Roi Albert II 8 box 1, 1000 Brussels, www.consumentenombudsdienst.be/en.
Article 26. Final provisions
If any provision of these terms is invalid or unenforceable, the other provisions remain in force. The invalid provision is replaced by a valid provision that comes as close as possible to what the parties intended.
The artist may amend these terms. For an existing agreement, the version accepted by the client at the time of signing continues to apply.
In the event of any difference in interpretation between the language versions, the Dutch text prevails.
